End User License Agreement
This End User License Agreement ("EULA") is a legal agreement between you and Mira AI LLC governing your use of the downloadable Mira software, including the Mira Suite (comprising Mira Core, MiraScribe, Mira Code, and other Suite applications) (the "Software"). By checking the acceptance box on our download page and/or installing the Software, you agree to this EULA. This EULA supplements, and should be read together with, our Terms of Service and Privacy Policy.
1. License Grant
Subject to your compliance with this EULA and our Terms of Service, Mira AI LLC grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on hardware you own or control, for your personal or internal business purposes.
2. Restrictions
You may not: copy, modify, distribute, sell, lease, or sublicense the Software except as expressly permitted by an applicable open-source license covering specific components; reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction; remove or alter any proprietary notices or branding within the Software; use the Software to build a directly competing commercial product based substantially on our proprietary code.
3. Ownership
The Software is licensed, not sold. Mira AI LLC and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks, service marks, or logos of Mira AI LLC.
4. Third-Party and Open-Source Components
The Software may include or interoperate with third-party and open-source components (such as Ollama, Tauri, or model runtimes), each governed by its own license terms. Where you choose to load third-party AI models into the Software, you are solely responsible for complying with that model's license, including any restrictions on commercial use of generated output.
5. Updates
The Software may periodically check for and install updates. Continued use of updated versions of the Software is governed by this EULA as in effect at the time of the update, unless a materially different EULA is presented to you.
6. No Warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, AS FURTHER DESCRIBED IN OUR TERMS OF SERVICE.
7. Limitation of Liability
Mira AI LLC's liability under this EULA is limited as described in our Terms of Service, which is incorporated here by reference.
8. Termination
This license terminates automatically if you breach this EULA. Upon termination, you must cease using the Software and delete all copies in your possession, though this EULA does not obligate us to remotely disable software already installed on your device.
9. Governing Law
This EULA is governed by the laws of the State of Idaho, consistent with our Terms of Service.
10. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Mira AI LLC regarding the Software and supersedes any prior agreements on this subject.
